Terms of Use

1. Termos Gerais

When accessing the WDC Networks website and choose to register to have access to the restrict are of this digital platform (“WDC Networks Platform”), the individual user (“User”), agrees to comply with and adhere to these Terms of Use (“Terms”), which rule the access and use of the WDC Networks Platform, a platform available and maintained by Livetech da Bahia Indústria e Comércio S.A., registered as Brazilian Corporate Taxpayer Number CNPJ/ME under number 05.917.486/0001-40, located at Rodovia BA 262, Rodovia Ilhéus x Urucuca, S/N, complemento Km 2,8, Bairro Iguape, CEP 45658-335, municipality of Ilhéus, State of Bahia (hereinafter referred to as “WDC Networks” or “we”). The User commits to respect, under any circumstances of fact or right, the rules set below.

 

2. Registration

These Terms are available in the institutional area of the WDC Networks Platform, at the time of registration. It is mandatory to read and accept these Terms for registration and to use services offered by WDC Networks Platform.

The User assures to provide information that are true, accurate, up to date and complete, being responsible to keep them always in such condition, including updating them whenever required.

The User recognizes that the function of WDC Networks Platform were well enough described on tutorial pages maintained by WDC Networks in its WDC Networks Platform, and WDC Networks complied with its duty to give information as expected in that circumstances.

The services provided by WDC Networks Platform are available only to individuals who have legal capacity to contract them. The User must be responsible for information provided when registering or updating registration, exempting WDC Networks from any responsibilities and respective verifications.

The User is aware that the registration in the system operating the WDC Networks Platform is made by the Brazilian Individual Taxpayers Registration (“CPF/ME”) number of each client, and commits to confirm with WDC Networks the accuracy of registration data.

The User declares to be aware and agrees that WDC Networks may request additional data and documents it considers necessary, as well as to use all legal and valid means to identify the User and/or check the informed personal data.

WDC Networks reserves the right to refuse or cancel any registration in disagreement with the terms and conditions of the Terms herein.

 

3. Intellectual Property Rights

All and any intellectual property rights, including but not limited to, copyrights (moral and assets), trademark rights, patents, trade names, domain names, titles of facilities, industrial and commercial secrets (“Intellectual Property”) associated to WDC Networks Platform and respective Contents (“Contents”) constitute exclusive property of WDC Networks, its affiliates or third party. The Contents are protected by leis copyrights in force. The elements that constitute the WDC Networks Platform are also protected by applicable laws to products presentation, business secret, unfair competition and by other laws, and shall not be copied or imitated, as a whole or in part, without prior and formal authorization from WDC Networks. All exclusive drawings, icons and other elements exhibited on WDC Networks Platform constitute trademarks and/or service brands of their affiliates or other entities that has granted to WDC Networks the right and license to use such brands and shall not be subject, under any form, for use or interference without expressed written consent from WDC Networks. All details, documents and illustrations published on WDC Networks Platform are exclusive properties of WDC Networks. Any authorization to use them will be granted as long as the concerning copyright is exhibited in all copies, and these details are used only for personal purposes, that are not commercially explored, and that details are not changed in any form and all illustrations obtained from WDC Networks Platform are used only with the accompanying text.

Unless expressly authorized otherwise in the Terms herein, the User may not, in any way, copy, reproduce, change, rent, lend, sell, use to create derived works, transfer, transmit or distribute the Intellectual Property of the WDC Networks Platform without prior and written consent from WDC Networks or interested third parties.

Except expressly stated in the Terms herein, WDC Networks does not grant to the User any expressed or tacit rights on Intellectual Properties from WDC Networks or any third party.

WDC Networks authorizes the User to use the contents of WDC Networks Platform only for the intended use of services of specific purposes in non exclusive base, and only during the access to the WDC Networks Platform. Such authorization may not be interpreted as license or grant, according to terms set by law.

The User is aware that he/she is the sole and integral responsible for any loss or damage directly or indirectly caused to third parties due to failure to comply with obligations related to Intellectual Property and Contents, and shall maintain WDC Networks exempt of any suits relating to Intellectual Property and/or Contents and such obligations.

 

4. Warranties

WDC Networks dwells with its best efforts, technically and comercially reasonable, to ensure security, continuous availability and quality of information publishde on WDC Networks Platform, in order to provide integrity, validity and accuracy of such information.

The User understands that, due to inherent characteristics of the internet environment, its technological advances and other factors, no matter how better is the security system  offered on WDC Networks Platform, WDC Networks cannot assure that access to WDC Networks Platform is totally free of eventual problems, caused by unforeseen circumstances, internal or external, due to force majeure or other cases eventually and/or not fully subject to direct control by WDC Networks, such as interruptions in functioning of WDC Networks Platform, interceptations, intrusions, pitching, virus dissemination, harmful attacks or other illicit acts, reason why the User commits to exempt WDC Networks from any liability, formulated by the User or third parties, due to such condition.

 

5. Links

WDC Networks did not analyze all websites linked to WDC Networks Platform and is not responsible for contents from any linked website. The inclusion of any link does not imply endorsement by WDC Networks to the website. The use of any linked website is at the User’s own risk.

 

6. Updating the Terms of Use

Regarding to dynamics of digital relationship and respective effects, the User accepts that these Terms may be changed by WDC Networks at any time, as well as the functionalities of WDC Networks Platform ruled by them, regardless of prior notice to the User. The changes are applicable from the date it is published on WDC Networks Platform, unless expressly provided otherwise in these Terms.

The User may know about the updated version by its number and date. The use of website by the User, implies the acceptance of the latest valid version of the Terms.

The rules in these Terms may be supplemented by specific rules duly present and with de other parts of the WDC Networks Platform, due to pertinence, convenience and specificity related to audience with individual needs or interests.

 

7. Termination

The User accepts that WDC Networks may freely terminate or suspend the use of WDC Networks Platform for the User, at any time and with or without any reason, even if the access and use are authorized to third parties. At the moment of suspension or termination, the User must, immediately: (a) interrupt the use of WDC Networks Platform; and (b) destruct all and any copies made of any parts of Contents. The access to WDC Networks Platform after termination, suspension or interruption constitutes a breach of right of property. Also, the User accepts that WDC Networks is not liable for the User or any third party by any interruption or suspension of User access to WDC Networks Platform.

 

8. Restriction of use of the WDC Networks Platform

Besides outher restrictions set forth in the Terms herein, the User:

(a) is obliged to not hide the source of information transmitted by WDC Networks Platform; (b) recognize that some areas of the WDC Networks Platform are restricted to registererd users; (c) is obliged to not frame or use framing techniques to involve any fraction or aspect of Contents or information without written expressed consent from WDC Networks team.

 

9. Indemnity

Under any hypothesis, including cases of negligence, WDC Networks is responsible for indemnity due to loss of profit or losses and damages of any nature, due to use, lack of skill and/or inability to use the WDC Networks Platform.

 

10. User’s Responsibilities

The User is responsible for obtaining and maintenance of all required equipment to access and use the WDC Networks Platform, as well as for payment of all related charges, for telecommunications, internet access service, or any other necessary to the User to connect to internet.

The User is responsible for keep confidenciality of his “User Name” (login), as well as his access password. The User is obliged to immediately notify to WDC Networks on any non-authorized use of his User Name and/or access password.

A tolerância ao descumprimento pelo Usuário de quaisquer deveres previstos nestes Termos ou na legislação aplicável não implica em renúncia pela WDC Networks ao exercício dos direitos respectivos. A habilitação do seu acesso à Plataforma WDC Networks pressupõe que o Usuário observe também os deveres de boa-fé, da moral e dos bons costumes reconhecidos na internet. Em caso de violação aos deveres referidos neste item, a WDC Networks poderá suspender o acesso do Usuário à Plataforma WDC Networks a qualquer tempo, sem necessidade de aviso prévio.

 

11. Jurisdiction and Venue

The Terms herein are ruled by Laws in force in the Federal Republic of Brazil.

Fica eleito o Foro da Comarca de São Paulo, Estado de São Paulo, para resolver controvérsias ou dúvidas oriundas da utilização da Plataforma WDC Networks ou relacionadas a estes Termos, com a exclusão de qualquer outro por mais privilegiado que seja.

The Court of the Sao Paulo Municipal Judicial District, in the State of Sao Paulo, shall have exclusive jurisdiction with regard to all matters arising from using the WDC Networks Platform or related to the terms hereof, waiving the right to any other, however privileged it may be.
